What happened: The Belgian state, Engie and its Belgian subsidiary Electrabel agreed to postpone to December 12 the target date for concluding the heads of terms for the state's potential acquisition of Belgium's seven nuclear power reactors. Negotiations began in late April; the target had already slipped once, from October 1 to November 4. A joint statement cites the operation's complexity and scale, says significant differences remain particularly on valuation, and sets a maximum of one additional month.
What's genuinely new: The proposed deal covers the complete nuclear fleet, all personnel and subsidiaries, and all associated assets and liabilities including decommissioning obligations — the government's stated strategic decision to take direct ownership of the country's nuclear assets, extend existing reactors and develop new capacity. Five of the seven units have already shut, most recently Doel 2 in December after 50 years of operation; Doel 4 and Tihange 3 run under licensed long-term operation deals to 2035 with equal state–Engie ownership and waste liabilities transferred to the state for EUR 15 billion (about USD 16 billion), and parliament repealed the 2003 phase-out law in May 2025.
Watch: whether December 12 produces heads of terms or a further slip, resolution of the valuation gap, and financing terms for the acquisition.
